Terms and Conditions

These Terms and Conditions ("Terms") were last updated on May 17, 2023.

Ronkita, LLC ("Ronkita", "we", "us", "our", or the "company") provides websites, products and services ("Services") to you subject to the following Terms and Conditions, such as when you:

  • Visit our websites that link to these Terms
  • Use our mobile apps or APIs
  • Purchase any of our products or services
  • Engage with us in other related ways, including any sales, marketing or events

When we refer to "you", "your" or "user", we mean the entity you represent in accepting these Terms, or, if that does not apply, you individually. If you are accepting on behalf of your employer, your company, or another entity, you represent and warrant that (i) you have full legal authority to bind your employer or such entity to these Terms; (ii) you have read and understand these Terms; and (iii) you agree to these Terms on behalf of the party you represent.

By using our Services in any manner, you are expressly agreeing to, and give your consent to be governed by, these Terms. If you do not agree with these Terms or you do not wish to be bound by these Terms, you must not purchase, access or use our Services in any manner.




Copyright

All content included in our Services, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of Ronkita or its content suppliers and protected by international copyright laws. The compilation of all content in our Services is the exclusive property of Ronkita, with copyright authorship for this collection by Ronkita, and protected by international copyright laws.


Trademarks

Ronkita's trademarks and trade dress may not be used in connection with any product or service that is not Ronkita's, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Ronkita. All other trademarks not owned by Ronkita or its subsidiaries that appear in our Services are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Ronkita or its subsidiaries.


Use License

Ronkita grants you a limited license to access and make personal use of our Services and not to download (other than page caching) or modify them, or any portion of them, except with express written consent of Ronkita.

This license does not include any resale or commercial use of our Services or their contents: any collection and use of any product listings, descriptions, or prices: any derivative use of our Services or their contents: any downloading or copying of account information for the benefit of another merchant: or any use of data mining, robots, or similar data gathering and extraction tools. Our Services or any portion of our Services may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of Ronkita.

You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Ronkita and our associates without express written consent.

You may not use any meta tags or any other "hidden text" utilizing Ronkita's name or trademarks without the express written consent of Ronkita. Any unauthorized use terminates the permission or license granted by Ronkita. You may not use any Ronkita logo or other proprietary graphic or trademark as part of a link to any Ronkita Services without express written permission.

All rights not expressly granted by Ronkita are reserved.


Age of Access and Eligibility

Age of Access

You must be at least 18 years old to use our websites, or, if you are between the ages of 13 and 18, you must have your parent or guardian's permission to use our websites. By using our websites, you are telling us by your actions that you have obtained that permission (you are 'representing' and 'warranting' that you have obtained the appropriate permissions to use our websites). IF YOU ARE UNDER THE AGE OF 13 YOU MAY NOT USE OUR WEBSITES IN ANY MANNER.


OFAC Restrictions

As an express condition of being permitted to access and use our Services, you represent and warrant that you (i) are not on a list of persons that bars you from receiving services under U.S. laws (including, without limitation, the Denied Persons List and the Entity List issued by the U.S. Department of Commerce, Bureau of Industry and Security) or other applicable jurisdiction and (iii) are not a resident of Cuba, Iran, North Korea, Syria, Venezuela or Crimea.


Accounts

To access or use certain features of our Services, such as the blog, communities, or enrolling in on-demand classes or other content, you may be required to register for an account ("Account"). When you register for an Account, you agree:

  • To provide true, accurate, current and complete information, including a valid email address
  • To keep your account up to date
  • Not to share your account login details with anyone else
  • You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account

Keep your password somewhere safe, because you are responsible for all activity associated with your account. If you suspect someone else is using your account, please contact us. You have complete responsibility for your account and everything that happens on your account, including for any harm or damage (to us or anyone else) caused by someone using your account without your permission. This means you need to be careful with your password. You may not transfer your account to someone else or use someone else's account. If you contact us to request access to an account, we will not grant you such access unless you can provide us with the information that we need to prove you are the owner of that account. In the event of the death of a user, the account of that user will be closed.

You may not share your account login credentials with anyone else. You must notify us immediately upon learning that someone else may be using your account without your permission (or if you suspect any other breach of security) by contacting us. We may request some information from you to confirm that you are indeed the owner of your account.

You must be at least 18 years of age to create an account and use our Services. If we discover that you have created an account that violates these rules, we will terminate your account.

Content Enrollment and Lifetime Access

When you enroll in classes or other content, you get a license from us to view it via our Services and no other use. Don't try to transfer or resell content in any way. We generally grant you a lifetime access license, except when we must disable the content because of legal or policy reasons or for enrollments via subscription plans. When you enroll in a class or other content, whether it's free or paid content, you are getting a license from Ronkita to view the content via our platform and Services, and Ronkita is the licensor of record. Content is licensed, and not sold, to you. This license does not give you any right to resell the content in any manner (including by sharing account information with a purchaser or illegally downloading the content and sharing it on torrent sites).

Ronkita grants you a limited, non-exclusive, non-transferable license to access and view the content for which you have paid all required fees, solely for your personal, non-commercial, educational purposes through the Services, in accordance with these Terms and any conditions or restrictions associated with the particular content or feature of our Services. All other uses are expressly prohibited. You may not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, sublicense, or otherwise transfer or use any content unless we give you explicit permission to do so in a written agreement signed by a Ronkita authorized representative. This also applies to content you can access via any of our APIs.

We generally give a lifetime access license when you enroll in a class or other content. However, we reserve the right to revoke any license to access and use any content at any point in time in the event where we decide or are obligated to disable access to the content due to legal or policy reasons. This lifetime access license does not apply to enrollments via Subscription Plans or to add-on features and services associated with the course or other content you enroll in.

Ronkita and its associates reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in their sole discretion.

Reviews, Comments, Emails and Other Content

Users may post reviews, comments, and other content: and submit suggestions, ideas, comments, questions, or other information, so long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam." You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of a card or other content.

Ronkita reserves the right (but not the obligation) to remove or edit such content, but does not regularly review posted content. If you do post content or submit material, and unless we indicate otherwise, you grant Ronkita and its associates a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media. You grant Ronkita and its associates and sublicensees the right to use the name that you submit in connection with such content, if they choose. You represent and warrant that you own or otherwise control all of the rights to the content that you post: that the content is accurate: that use of the content you supply does not violate this policy and will not cause injury to any person or entity: and that you will indemnify Ronkita or its associates for all claims resulting from content you supply.

Ronkita has the right but not the obligation to monitor and edit or remove any activity or content. Ronkita takes no responsibility and assumes no liability for any content posted by you or any third party.


Code of Conduct

If you violate this Code of Conduct, we reserve the right to remove you and any of your content from our Services. Whether conduct violates our Code of Conduct will be determined in Ronkita's sole discretion.

No Illegal Activity
Do not use Ronkita Services for any illegal activity. You are not allowed to use our Services to engage in any kind of conduct that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).

No Fraud
Fraud will not be tolerated in any capacity.

No Bad Conduct
Do not use Ronkita Services to transmit, distribute, send, or otherwise expose our Services or our users to viruses, worms, or any other code that may be deemed dangerous, harmful, or destructive in any manner.

No Spamming
You may not use Ronkita Services to engage in any activities that will result in sending spam to anyone on Ronkita websites, including Ronkita (and its employees).

Be Civil
When you use Ronkita Services you will be civil and respectful at all times.

No Exploitation
You will not use Ronkita Services to try to gather personal information on anyone outside of the limited permissible uses for offering or accessing user content.

No Impersonation
You will not impersonate anyone on Ronkita Services, including Ronkita (and its employees).

No Data Mining or Bots
You may not use any data mining, robots, or similar data gathering or extraction methods.

No Use Other Than Intended
You may not use the Services or any user content contained on the Services for any purposes other than intended.

No Prohibited Content
You may not use the Services if your user content contains material that is libelous, slanderous, pornographic, obscene, unlawful, threatening, hateful, violent, predatory, defamatory, or otherwise objectionable, all of which shall be determined in our sole discretion.


Services and Products Provided by Ronkita

By utilizing any instructions or information communicated by Ronkita you are assuming all responsibility and risk for your own actions and any damage or injury that may result from your actions. We recommend safe practices when sewing and when using tools seen or implied. No information communicated shall create any expressed or implied warranty or guarantee of any particular result.

Pricing

Prices may be changed at any time without notice. We reserve the right to change our product and service prices at any time without further notice.

Service and Product Descriptions

Ronkita and its associates attempt to be as accurate as possible. However, we do not warrant that service or product descriptions or other content of our Services are accurate, complete, reliable, current, or error-free.

Live Instructor-led Training or Activities ("Activity" or "Activities")

These Terms and Conditions apply only if the Activity is scheduled or organized directly with Ronkita. We also participate in Activities at other businesses that set up, manage and take registrations for Activities using their own systems, processes and policies. We are not responsible for the practices of these other businesses and our Terms are not applicable to their business, the products or services they provide or Your interactions with them.

Payment
Fees are due by the due date on the invoice, or when paying during registration, to confirm and hold Your place for the specific date(s) and time(s). Your place is not confirmed until full payment has been made.

Times & Late Arrivals

  • All Activities start at the designated time.
  • There is a 10-minute waiting period after the start time to accommodate late arrivals.
  • If the instructor doesn't receive notice before the start time that the participant will be late, it is at the discretion of the instructor to cancel the Activity after the waiting period. Refunds will not be given if the Activity is canceled because the participant failed to arrive on time, or failed to attend any or all days.
  • If the instructor receives notice before the start time that a participant will arrive late, it is at the discretion of the instructor to extend the Activity time. Refunds will not be given for time that was missed by the participant.

Video Recording or Photograpy
Video recording or taking photos during the Activity are not permitted. If recording is enabled in online sessions, or photos or video taken in in-person sessions, the Activity will be stopped until the recording, photos and video have been stopped, and any time expended will not be added to the duration of the Activity. You will only receive one notice to disable recording or to stop taking video or photos. After the notice, if recording is enabled or more video or photos taken, the Activity will end and You will not receive a refund or credit, nor will You be permitted to attend any future Activities.

Online Video Chat

  • Minors must have their parents' permission. It is required for the parent/guardian to be at the same location as their child/ren and immediately available to their child/ren and/or the instructor. The parent/guardian must be present in the Activity to provide assistance if they or the instructor determine their child/ren will need assistance during the Activity. For children 10 years old and younger the parent/guardian is encouraged to sit it on initial Activities to help with tasks that require more dexterity.
  • Please be sure to test and confirm all of Your hardware and network connections are working properly before the start of the session. We won't be able to troubleshoot or provide technical support if You experience issues during the session.
  • Additional time will not be added to the session if Your app, equipment, tools or materials are not set up and ready to use by the start of the Activity.

Cancellations & Refunds
Please check Your calendar carefully before committing to an Activity. We appreciate as much notice as possible for cancellations.

  • Programs (Such as camps scheduled for three or more days.)
    • Cancellations received at least 21 calendar days before the start date of the program shall receive 100% refund of the fee, less a $25 administrative fee.
    • Cancellations received within 7-20 calendar days before the start date of the program shall receive 50% refund of the fee, less a $25 administrative fee.
    • Cancellations received fewer than 7 calendar days before the start date of the program shall not receive a refund of the fee.
  • All Other Activities
    • Cancellations received at least 5 calendar days before the start date of the Activity shall receive 100% refund of the fee.
    • Cancellations received within 2-5 calendar days before the start date of the Activity shall receive 50% refund of the fee.
    • Cancellations received fewer than 48 hours before the Activity start time shall not receive a refund of the fee.
  • Refunds will not be given if the Activity is canceled because the participant failed to arrive on time, or failed to attend any or all days.
  • Refunds will not be given for time that was missed by the participant.
  • There are no refunds for students who fail to appear for the Activity.
  • Activity fees will not be refunded if the participant fails to bring the necessary materials and supplies.
  • Refunds are not given to students who fail to contact us at the guidelines listed above. No exceptions.
  • All services rendered by Ronkita are provided on a non-refundable basis.
  • In the unlikely event that the Activity is canceled by Ronkita, You will receive a full refund.
  • Refunds can take at least 7-15 business days to process.
  • Ronkita reserves the right to modify, suspend, or alter its refund policy, at its sole discretion.

Rescheduling

  • Private Activities
    • Private Activities can be rescheduled if notice is received at least 48 hours before the start time. Rescheduling can only be done one time, and after that, if You can't make it, You must submit a request to cancel the Activity and will be held to the cancellation guidelines above.
    • Requests to reschedule the private Activity received fewer than 48 hours before the start date/time will be honored at the discretion of the instructor. Refunds will not be given if the teacher cannot reschedule the Activity.
  • Public Activities
    • Public Activities will not be rescheduled and students will be held to the cancellation guidelines above.

Materials & Supplies
Please use the materials/supplies list (if applicable) to make sure You have everything needed for the Activity. These lists are provided in the Activity descriptions, and You can contact us if You have any questions about what to bring. We are not always able to supply machine accessories or supplies if You forget yours. Activity fees will not be refunded if the participant fails to bring the necessary materials and supplies.


Digital Products
Refunds

Digital products, streaming/on-demand video and audio content, apps, and downloads are delivered upon confirmation of payment and due to the nature of the product and its delivery, no refunds are offered.

Personalized Video
Applying the cost of the video toward the cost of a personalized lesson can only be applied one time per video purchased. The one-time discount will be applied on the invoice for the personalized lesson. The personalized lesson must be scheduled within 15 days of the video being sent to you. Information communicated in the personalized video may be used in other videos or content created by Ronkita.


Tangible Products

Face Masks
Refunds, credits or exchanges will not be provided for face masks.

All Other Tangible Products (Excluding face masks and custom-made products)
If you aren't 100% satisfied with the item, you must contact Ronkita within 5 days of receiving the item to discuss a refund. Buyer is responsible for shipping costs on returns and exchanges. The returned item must be in new/unused condition, unwashed, and with all original labels and hardware intact. Items are shipped uninsured via USPS Priority mail. Ronkita is not responsible for items that are lost or damaged by the post office, or if the buyer provides incorrect address information. Many of these are unique, one of a kind items, and in some cases material may no longer be available.

Risk of Loss
All items purchased from Ronkita are made pursuant to a shipment contract. The risk of loss and title for such items pass to you upon our delivery to the carrier.

Refund Policy
Ronkita reserves the right to modify, suspend, or alter its refund policy, at its sole discretion.


Machine Service

Diagnostic and Drop-off
An appointment and payment of the non-refundable diagnostic fee are required for machine service. Diagnostic appointments can be rescheduled without charge if you contact Ronkita at least 24 hours prior to the appointment. The diagnostic fee will not be refunded if you fail to appear for your appointment, and a new appointment and payment of the diagnostic fee must be set up using the online system in order to proceed with machine service.

Additional Service
The diagnostic payment covers the diagnostic only. Ronkita will contact you for your approval before proceeding with service that exceeds the full-service costs or previously agreed costs, or before ordering parts. In some cases, a deposit may be required before proceeding with additional service or ordering parts. You will only be charged for services rendered and not charged the additional service fees if the issue with the machine can't be fixed.

Service Payment and Pickup
Ronkita will contact you when your machine service is complete, coordinate a time for you to pick up your machine and send you an invoice for payment. Pickup options will be at the same locations and times that the machine diagnostic/drop-off is available. Complete payment must be made by the invoice due date, otherwise the pickup appointment will be automatically canceled and will need to be rescheduled. After the pickup date and time are confirmed, you must contact Ronkita at least 24 hours prior to the pickup date if you need to reschedule the appointment. Failure to pickup your machine at the agreed appointment will incur a $10 fee per missed appointment, and this fee must be paid before a new pickup appointment will be coordinated. Machines that aren't picked up 30 days from the appointment pickup date, and you have not contacted Ronkita to make alternate arrangements, will become the property of Ronkita and will be sold or donated at our discretion.

Limited Warranty
A 30-day warranty is offered from the date you pickup your machine on service and repairs related to the issue that the machine was brought in for. If the same problem returns within 30 days after you pick up your machine, contact us to coordinate a review of your machine. Ronkita does not warranty any parts that are used for service or repairs.

Refunds & Returns
All services rendered are provided on a non-refundable basis. Ronkita reserves the right to modify, suspend, or alter its refund policy, at its sole discretion.


Content on Third-party Sites

Ronkita posts and manages content on third-party websites ("External Sites"), such as YouTube, Instagram, Facebook and others. Your use of External Sites is at your own risk. Ronkita does not represent or warrant that the External Sites will be uninterrupted or error-free, that defects will be corrected or that they are free of viruses or other harmful code, nor does Ronkita represent or warrant the correctness, accuracy, timeliness, reliability or appropriateness of the content contained on the External Sites, or that the content is free of viruses or other harmful code.

Ronkita shall not be responsible or liable for any damages, whether direct, indirect, incidental, special, consequential or other damages arising out of or in connection with our use of External Sites, including content. External Sites may contain links to other websites. Ronkita is not responsible for the accuracy of any content or availability of any services or products on any third-party website that may be referred to. Links to any third party websites or resources do not imply an endorsement by Ronkita.



Errors and Corrections

The materials appearing in our Services may include technical, typographical, or photographic errors. Ronkita does not warrant that any of the materials in our Services are accurate, complete, or current. Ronkita does not guarantee that the Services will be error-free or otherwise reliable, nor does Ronkita guarantee that defects will be corrected or that any offerings will always be accessible. Ronkita may make improvements and/or changes to the Services and their features and functionality at any time, and will use commercially reasonable efforts to avoid disrupting peak hours, though some downtime may occur. We reserve the right to amend the Services, and any service or material we provide, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Services are unavailable at any time or for any period. From time to time, we may restrict access to some or all of the Services.


Communications

Ronkita may notify you of relevant information regarding the Services in any of the following ways:

  • Emailing you at the contact information you provide in your account registration
  • Posting a notice in dashboard areas of the Services, and
  • Posting the notice elsewhere in the Services in an area suitable to the notice.

It is your responsibility to periodically review the Services for such notices.


Ronkita's General Rights In Operating Its Services

Ronkita may modify, terminate, or refuse to provide Services at any time for any reason, without notice.

Ronkita may remove anyone from Ronkita Services at any time for any reason, solely in Ronkita's discretion. This right is not modified by any other section of these Terms.

Ronkita reserves the right to access your account and content in order to respond to requests for technical support, to maintain the safety and security of the Ronkita Services, and for other legitimate business purposes, as necessary, in Ronkita's discretion.

Ronkita may, but has no obligation to, monitor any user content that appears on Ronkita Services or review any conduct occurring through the Services, including any interactions between users and Ronkita employees.

If you close your account Ronkita may keep a copy of your user content after termination. You grant us a non-exclusive, perpetual, irrevocable license to maintain such archival copy for compliance with any relevant laws and regulations and for our internal business purposes, subject to applicable law.

Ronkita reserves the right to remove you and your content without warning if you violate any of the provisions of these Terms.

Ronkita has, in its sole discretion, an absolute right to modify, change, alter, suspend, or terminate any provision of these Terms without warning at any time.


Advertisers and Sponsors Disclaimer

Our Services may contain advertising and sponsorships. Advertisers and sponsors are responsible for ensuring that material submitted for inclusion on our Website is accurate and complies with applicable laws. We are not responsible for the illegality or any error, inaccuracy or problem in the advertiser's or sponsor's materials. THE INCLUSION OF THIRD PARTY ADVERTISEMENTS DOES NOT CONSTITUTE AN ENDORSEMENT, GUARANTEE, WARRANTY, OR RECOMMENDATION BY RONKITA AND WE MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT ANY PRODUCT OR SERVICE CONTAINED THEREIN.

We may allow access to or advertise certain third-party product or service providers ("Merchants") from which you may purchase certain goods or services. You understand that we do not operate or control the products or services offered by Merchants. Merchants are responsible for all aspects of order processing, fulfillment, billing and customer service. We are not a party to the transactions entered into between you and Merchants. You agree that use of or purchase from such Merchants is AT YOUR SOLE RISK AND IS WITHOUT WARRANTIES OF ANY KIND BY US, EXPRESSED, IMPLIED OR OTHERWISE INCLUDING WARRANTIES OF TITLE, FITNESS FOR PURPOSE, MERCHANTABILITY OR NON-INFRINGEMENT. WE ARE NOT LIABLE UNDER ANY CIRCUMSTANCES FOR ANY DAMAGES ARISING FROM THE TRANSACTIONS BETWEEN YOU AND MERCHANTS OR FOR ANY INFORMATION APPEARING ON MERCHANT WEBSITES OR ANY OTHER WEBSITE LINKED TO OUR WEBSITE. All rules, legal documents (including privacy policies) and operating procedures of Merchants will apply to you while utilizing any Merchant websites. We are not responsible for information provided by you to by Merchants. Our relationship to Merchants is solely as independent contractors and neither party has authority to make any representations or commitments on behalf of the other.


Miscellaneous Legal Terms

Binding Agreement

You agree that by registering, accessing, or using our Services, you are agreeing to enter into a legally binding contract with Ronkita. If you do not agree to these Terms, do not register, access, or otherwise use any of our Services.

If any part of these Terms is found to be invalid or unenforceable by applicable law, then that provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms will continue in effect.

Indemnification

You agree to indemnify, defend (if we so request), and hold harmless Ronkita, our group companies, and their officers, directors, suppliers, partners, and agents from an against any third-party claims, demands, losses, damages, or expenses (including reasonable attorney fees) arising from: (a) the content you post or submit; (b) your use of the Services; (c) your violation of these Terms; or (d) your violation of any rights of a third party. Your indemnification obligation will survive the termination of these Terms and your use of the Services.

Governing Law and Jurisdiction

These Terms shall be governed in accordance with the laws of the State of Texas without regard to its conflicts of laws principles.

Disclaimer

The materials in our Services are provided 'as is'. Ronkita makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, Ronkita does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the Services or otherwise relating to such materials or on any sites linked to our Services.

We may decide to cease making available certain features of the Services at any time and for any reason. Under no circumstances will Ronkita or its affiliates, suppliers, partners or agents be held liable for any damages due to such interruptions or lack of availability of such features. We are not responsible for delay or failure of our performance of any of the Services caused by events beyond our reasonable control, like an act of war, hostility, or sabotage; natural disaster; electrical, internet, or telecommunication outage; or government restrictions.

Limitations of Liability

There are risks inherent to using our Services, for example, if you or your family injure yourself/themselves or someone else, or you damage property. You fully accept these risks and you agree that you will have no recourse to seek damages against us even if you suffer loss or damage from using our platform and Services.

To the extent permitted by law, we (and our group companies, suppliers, partners, and agents) will not be liable for any indirect, incidental, punitive, or consequential damages (including loss of data, revenue, profits, or business opportunities, or personal injury or death), whether arising in contract, warranty, tort, product liability, or otherwise, and even if we've been advised of the possibility of damages in advance. Our liability (and the liability of each of our group companies, suppliers, partners, and agents) to you or any third parties under any circumstance is limited to the greater of $100 USD or the amount you have paid us in the 12 months before the event giving rise to your claims.
